we have taken loan from nationalised bank. C.C.limit and term loan to buy commercial vehicles.our a/c became npa we were served notices and symbolic possesion was taken of collaterals now can the bank take reposesion of vehicles

Hi
We are 4 friends who are interested in starting our own business in India. We are students of engineering (3rd year). Our business will mainly involve:
- Providing web sites and web application to local as well as foreign clients
- Selling and providing support to HTML and Wordpress themes
- Development and selling of games, making them playable on internet and generating revenue through ads
- Developing apps and games for various mobile platforms
I wanted help regarding what all we should keep in mind, including legal problems
for eg: do we have to get a license, or reigister a company, and all other legal formalities

A company has obtained car loan against hypothecation of the said vehicle.The Bank has executed a Loan Agreement and RC was endorsed in its favour.However, no Hypothecqation - Deed was executed.The Bank is insisting the company to arrange for registration of the charge?Can it be filed in the absence of the Hypothecation Deed?

One of my client wanted to foreclose his loan account but the Bank did not respond. Now his account has become NPA & the bank has initiated SARFAESI Proceedings. In the notice u/s13(2) of SARFAESI ACT,2002, the bank has demanded Rs.26,542/- towards foreclosure charge.
I had read some where that RBI has directed all Banks to stop collecting foreclosure charge.
My question is
1) Can Banks still levy foreclosure charges from defaulting borrowers?
2) If not then from which date & against which circular foreclosure charges have been barred to be levied on the defaulting borrowers or the borrowers who want to foreclose their loan accounts.

Whether Section 300 of the companies act will be applicable in following situation?
- Mr. P is a director in XYZ Ltd
- PQR Ltd has entered into leasing transaction with XYZ Pvt Ltd Co. & DEF Pvt Ltd.
- Now Mr. P is not director or member in XYZ Pvt Ltd Co. or DEF Pvt Ltd. But Sons of Mr. P are Director in XYZ Pvt Ltd & holds 26% and wife of Mr.P holds 50% in DEF Pvt. Ltd.
Now, Question arose whether section 300 will be trigerred in case where director is holding less than 2% but his relative is holding more percentage???
Please give reference of your reply, if possible..

Dear All,
I have invested in real estate company, who had promised that they are in the process of listing their company on BSE.
Based on the promise made, I have invested close to Rs. 50000 and have pruchased 8500 units in Jan 2008.
After that I got the cheque from the comapny informing that the interest has been paid to all the share holders for 2007 - 2008, so in my case i got the interest for 3 month (jan, feb and March 2008).
However after that I have not received any communication from the comapny and there is no clearity regarding the listing of the company. already 4 years has passed.
I have been in touch with the company but they are giving some vauge reason for not listing the company and also not sending the interest. I wanted to know whether the company can legally do this to the general public by taking the money.
How I can get the money back from the company ?
Is there a way out ?
