Expense and profit sharing agreement for joint venture....help

sir,

i have started a new business between thee parties a, b and c

A) a will provide material but bear no other expense

b) b wil provide office/ premises

c) c will bear employee/ man power expenses



all the proceeds i.e sale will be divided among A-B-C in 40 /30 /30



now my question is if partners want a legally binding agreement among themselves regarding responsibilty of expense... what kind of contract / agreement / MOU / JOINT VENTURE AGREEMENT is advisable??


wiill it be called partnership coz... in partnership all exp & profit are joint and several. or MOU?

Dear Sir,

I want to start a Farming business, Hence I would like to know, whether i can take a Land on Lease, which belongs to SC Community or Lease basis or monthly rental basis. Do i have any problem in the future if i take the land from SC community for Lease.Kindly Advise.

Dear All,

Is there any case law, where a Manufacturer using somebodys other product?
and
for e.g
Philips using LG 's component on their LCD.(they have contract with each other)
Can it be objected by customer that I have bought LCD from Philips and LCD panel is used by LG?

Is there any case law or any Act I can refer to?

Wrong charges by bank.

Sir,
One of our customers, has shifted to another bank, since the existing bankers delayed renwal of limit for more than 3 months.

The existing bank, once informed of shifting of the bank , sent a email,to the client informing that they have renewed the limit, to which the client sent back a email stating that the terms of renewal are not acceptable to him, and he will like to not go ahead with the renewal.

Now this bank has charged the client 2% as preclosure penalty, and also processing fees for the same. Can the bank unilaterally renew working capital limits,without the client approval and debit this amount to the client.

What are the options available to the client to recover this charges wrongly debited to his account.

Please advise.

Can a private Limited company be formed under educational institution? (In other words, can an educational institution own a private limited company?)

If yes, Can the directors or any other person of the donor company be a director in the company owned by educational institution.

Is it mandatory for the financial institutions to notarise the power of attorney inside the car loan agreement?Is the power of attorney in the Car loan agreement valid without been notarised ? Do the financer have any rights for the repossession of the car if the power of attorney inside the car loan agreement is not notarised?
