There is a company in which there are 4 houses. the company has been split. the problem is of distributing these assets. can anyone please tell me the different alternatives available.
an outright sale purchase leads to a lot of cash outflow in the form of stamp duty, cap. gain tax and dividend distribution tax.
De-merger cannot happen because the company has no activities.

I have a land in MIDC it was alloted to me way back in 1997, as I have not completed the 10% construction criteria, MIDC asked for a Premium of around 42lacs and has given me extended time limit to complete 10% construction. As I as unable to pay such amount o my own, I paid the amount by selling the very same land to a businessman for 42lacs only. this is because i wanted to get rid of the situation. Now will i be taxed for the consideration received or premium collected by MIDC is allowable as Cost of Transfer or Cost of Acquisition?
Please reply

Sir,
Partners like to let out land to firm on which the firm shall construct any building. Rent will be paid. But end of period the building or structures at wat ever cost was built shud vest with partners as landlords. Is it fine to draft any such agreement. Is it void? or legal issued from income tax angle? Can firm claim depreciation?

Capital gains
hello members
The issue is as follows:
A property was acquired by the Government during the FY 2010-11 and compensation paid to the assessee Mrs.A. The property was transferred to the assessee Mrs.A, on the death of her husband. The husband Mr. A , had received the property ( the property relates to their grand/great grand father's)on partition of the property during the early 1950s.
So in order to compute the Capital gains, we need the fair market value as on 01/04/1981. Require your valuable opinion on how to arrive at the FMV as on 01/04/1981.
Thanks in Advance
