In an agreement with foreign company, which law will govern the performance and execution of agreement. the place of execution is a foreign country. indian company will provide consultancy services along with deputing its employees for technical working of the foreign company. further for arbitration at a neutral country by which law such proceedings will be governed.

The jurisdiction and laws are upto the choice of the parties concerned. However, if you are having upper-hand in the contract, seek 'Indian Laws & Jurisdiction'. (A difficult thing in choosing the jurisdiction is 'execution of court decree' in case of any dispute).
For arbitration at a neutral country, it is better to mention in the agreement that the 'international commercial arbitration rules shall govern'.
