Dear Friends
I need help where in i am a director of a PVT.LTD Company and as I have seen that the other directors are not working properly or are not intrested in this company I would want to resign and when I expressed this to the other directors they told me I can resign if I pay up the money that they have a put into the company and then they still want to run the company by them self but they want me to pay up for all the current balance that the company has.
As a director am i liable for payments the company has to receive , i have told them that I do not want my paid up capital of Rs.2.5 Lacs and the salary pending of another Rs.2.00 Lacs but they are saying that the company has a negiative of Rs.40.00 lacs so I need to pay before I leave but in that Rs.40.00 that the company is negitive the payments that are yet to be received is around Rs.35.00 Lacs so the total negitive is only Rs.5.00 lacs and I have told them I do not need any money from them but just want to get out of this relation but they are saying that I can only resign if I pay Rs.40.00 Lacs or else I will be liable for all the losses is this true kindly help me.

If I am closing a part/ division of my business then does I require General Meeting approval ( section 293).
Such division is merely one part of production process
if not then which type of Resolution is required

A car which has proper insurance coverage was damaged due to the fall of tree over it by accident. But the inusrer refuses to the claim for the damages caused to the car. On what basis the coverage of insurance for a car is decided? what are the conditions to be satisfied to claim the damages?

Dear Friends
Pls let me have your views on the following query.
A is appointed as as a CS in a company. On joining day itself he has to send some communication to S/E regrding intimation of board meeting and news paper advertisement in the newspaper. He comes to know that the ex-CS has not yet resined and relieved who is on a long leave. Management says to A sign all the communiaction from day of joining itself and says that the resignation of es-Cs will be obtained with backdate effect. Furrther, A has not been given appointment letter as yet and the board resolution for his appointment will be passed at a b.m. scheduled next week. now my queries are:
1. Is it legally prpoer for A to sign the docs/communication as CS without having received any appointment letter received OR board resolution passed for his appointment when the ex-CS has not given reignation to the company.
2. Can the resolution for appointment of A be passed at the next B.M. with restropective effct OR it will be better to pass the resolution by circulation.
3. Is the resignaion letter of ex-CS compulsory for filing form 32 for ceasation of ex-CS. If ex-CS does n't give resignation, can company terminate him and file form 32 on the basis of resolution for termination/removal.
Matter is urgent pls revert.

Registration of a Sole Proprietorship
I want to start a Educational Institution as Proprietor.
I will be required to open a bank account. Can you please guide me as to what documents I need to open a bank account.
I have heard that banks do not open account without registration and also heard the Sole Propritorship does not require registration.
Kindly let me know the registration requirement of s sole proprietorship and the compliances under the companies Act, 1956, if any
