Partnership

Respected Experts,

Please help me to have a proper partnership deed which is in accordance with the principles of law. I would like know in a situation of following circumstances what could be a better legal position in terms of its validity.

My client and his friend would like to start a garment business in partnership. Both of them mutually decided to invest the initial capital in equal and decided to share the profits and loss as well. Here an appropriate place of business was offered by a third person who is a lessee of premises which is very much convenient for the said partnership business. This lessee is only interested in a monthly fixed amount of income and would like to let the premises based on this understanding.More over lessee do not have any business presently running at the said premises and also having no interest in the said partnership. Conveniently the lesser had no objection of the same in this business if he (lessee) is a partner in the said business. My client and his friend would like to be an active partners in the said business and do not want lessee to be in the day to day business and operation of its accounts. In return my client and his friend would pay a fixed amount. But this fact is not known to the lesser.

Therefore, I request respective experts to share an appropriate form a partnership deed which will not violate any provisions of law in terms of sub letting and any other possible infringement laws.

Business goodwill Buyback by landlord

I am a tenant running hotel since 2000. For first 5years the business was in the name of landlord. From 2006 the landlord offered to sell the hotel Business goodwill, furniture’s & movable amenities. So I Bought all these from the landlord At market price valued of year 2000,through legal agreement Deed.
Landlord also renew the lease for future 7 years., till 2012.
Will the business goodwill, furniture’s & movable amenities which I bought from the landlord, At market price valued at year 2000, legally fetch me any advantage, if my landlord wants me to vacate after the lease period. Can I legally tell my landlord to buy back my hotel Business goodwill, furniture’s & movable amenities At market price valued at year 2012.Because its connected to this hotel property. If he refuses to buy, do I legally have rights to sell, all hotel Business goodwill, furniture’s & movable amenities to someone else.(outsider)
ARE GOODWILL,BUSINESS WHICH I BOUGHT FROM LANDLORD CONNECTED TO THE THIS HOTEL property.
Is the following lines in the my agreement favorable to me to me or not.
(with the option to the tenant to renew the agreement for further period on such terms & condition as may be mutually agreed upon.)

Excise & sales tax registration

Dear sir's,
I am salaried person & willing to do trading in chemicals & speciality chemicals from mumbai.
pl suggest me what type of registration i need to get.
is it necessary to get excise registration & sales tax registration?

if i am buying chemicals from original manufaturere & selling to onther user. then excsie duty & sales tax i am paying on buying material, how can i pass it on to my customer without having excise registration & sales registration.

without this registration or having any one of this registration is it possible to do trading. How to get this registration. what is procedure, how much costelier,time consuming & what are all documents needed.
i understood that small scale manufaturer do not need to pay excise duty. same is applicable to traders also? in that case a original manufacturer who raise the bill with 10.3 % excise to me. how this is adjusted or passed on to my customer.
