does term and condition in invoice is binding on buyer and it constitutes a counter offer as there is an existing contract between buyer and seller for purchase of goods

Yes.  The term and condition in the invoice is binding on the buyer.

The terms and conditions incorporated in the invoice will have to be in consonance with the contract hence it will have to be honoured by the parties to contract.

You need to understand that Invoice first, usually the invoice is a commercial document that gives statement of itemized products or services with a price and payment options and delivery etc;  the invoice is always issued after receiving an order or in compliance with any agreement. Now in your case it appears the Invoice is issued from an agreement with terms and conditions, the terms and conditions of agreement where the payment terms are well defined supersede over other documents particularly when that is a standard agreement and properly the terms are specified. Your agreement can guide you in this case and if the invoice is objected and disputed that is not at all binding unless agreed.
