Franchisee

First of all a counselor need to go through the contents of original franchise agreement or deed. Is there any relevant clause or right to transfer by the franchisee. Normally it will be surrendered by surrender deed and the original franchisee will get back his security deposit as per the franchise agreement. If there a provision to further transfer by the franchisee it can be done by way of a transfer deed. If a provision is made in the original franchise agreement to sell without the consent of the franchisee it can be done through a sale deed.

Coming to the leased premises one should know whether there a lease deed, whether it's registered? is there any provision for sub lease by the original lessee.

It's always better to enter into a fresh agreement with the franchisor.

Check with principle establishment if IT shall agree to such transfer
