Sole selling agency and exclusive lisencee ?

If a company is engaged in production of artwork (say music) and a contract is entered into to give another company exclusive licensing rights for a time period say 10 years , would it constitute sole selling agency under the provisions of companies act ? Would licencing come under the sale purchase or supply of goods, materials and services (under old Act) ?
