Llp form no.24

LLP was established in July 2016 and there was no business. No Bank account. In 2025, it is being closed.  Can we mention  date of incorporation also as date of Closure. Then we can not justify reasoning of  Closure. 

Can we keep 2024 date?

To close an LLP, you'll need to file Form 24, but mentioning the date of incorporation as the date of closure might not be the best approach.

 This is because you'll need to provide a valid reason for closure, which wouldn't be possible if you claim the LLP was closed since its incorporation..

 Instead, you can consider mentioning 2024 as the date of closure, as this would imply that the LLP was inactive for the last financial year.

 However, ensure you meet the conditions for LLP closure, which include: - *

No Business Activity*: The LLP must not have conducted any business since incorporation or for the last year. - *No Bank Account*: The LLP must not have an active bank account. - 

*No Pending Litigation*: There should be no pending litigation or statutory liabilities. - 

*ITR Filing*: A NIL ITR must be filed for the last financial year. To proceed with the closure, you'll need to: - *File Form 24*: Submit the application for striking off the LLP's name with the Registrar of Companies. 

- *Attach Required Documents*: Include documents like the certificate of incorporation, PAN card, LLP agreement, and bank account closure certificate. 

- *Pay the Government Fee*: Rs. 1,000 for other LLPs (Rs. 500 for small LLPs, but this option is currently not available). Consult a professional to ensure you comply with all the requirements and follow the correct procedure for closing the LLP..
