Intellectual property rights for copyrighted materials

I have some questions regarding the following scenario:

Mr X was working in a software/IT enabled service company for more than 5 years as a software developer. All the software generated in that company by Mr X were under the copyright of the company and the company owns the code. After leaving the company, whether Mr X can create a fresh software with almost same codes (not 100% similar) that of the old company. 

Is there any legal base, if the old company came up with any software theft allegations on Mr X.  Is there any possibility, so that Mr X can take the advantage of  Intellectual Property Rights.

Was there any written contract of employment if yes then what where the terms? Mr X cannot sell a similar code even if not 100%. He may be sued looking at the terms of his employment.
