Penalty in foreclsoure of contracts

The contract of coal transportation was for 3 years. The management decides to foreclose the contract after 2 years of execution. Whether, the shortfall penalty is applicable in this 2 years of work period? It is quite clear that no penalty will be imposed on the remaining one year of work period.
