Notice

Hi, Could anyone help me with a query as is a board resolution passed and acted upon by all directors stands valid even if the statutory complaince of sending notices to them was not complied.

and further any relief on grounds of dispute to such BR years after raised by one of the Director on basis of no notice.

kind request to send me any relevant case laws on the same.

the same is valid and i think at later part also you can send the notice.... so it is idea to send notice of information

Not at all. Sending notice to all the directors are substential compliance in itself otherwise it invalidates the business conducted at that meeting. it is irrespective of the fact that the objections regarding the same is raised after so many years.
