Surely you have not conducted any crime against the company but in eyes of law you have committed Adultery u/s 497 whoever has s*xual intercourse with a person who is and whom he knows or has reason to believe to be the wife of another man, without the consent or connivance of that man, such s*xual intercourse not amounting to the offence of rape, is guilty of the offence of adultery, and shall be punished with imprisonment of either descripttion for a term which may extend to five years, or with fine, or with both. In such case the wife shall not be punishable as an abettor.

Msg conversation bet ween you and the lady is enough to establish illegal relationship between you and the lady if you want to take the action further you may even have to face their consequnses arising out of that the rest is up to you how you want to face this situation

you should think that what wrong and what right you have done 

just think reverse and you being in the shoes of your other director and what step you will do if the same incident occur in your life 

Adultery can be proved if his wife has agreed and also you said some sms are there
