Company holding captive

We are a registered business in chennai made a purchase for goods over 3 lakhs from a company in delhi. The funds were sent thru bank transfer in April.  The company in delhi has taken us for a ride by sending products that were defective, and also signing up for something that we don't want to do. We are not their distributor but they have listed us as a pick up location with times of india for their product.

Despite repeated calls for closing the account, the company has been defaulting, and trying to sell us products that we do not want. We have returned all their stock, and only possess their products in our inventory worth Rs. 24000. We have neither received any interest nor any commission as of today.

Basically we want to end the relationship with this company in Delhi. How would I go about proceeding with legal action in this matter, as the party has defaulted on more than a few occassions. Please throw me some light and if someone is willing to represent our business.

Also how does legal proceedings between chennai based company with delhi based company works. We have a witness in their Chennai sales rep and emailed documents to prove our claim.

Thank you
