Letterhead of unregistered company

i have provided a letterhead to company in delhi and i am from hyderabd for a software project and also mentioned that so i will not contact client of that company i just kept the name of company which is unregistered and did not mention cin or any other iso certificates or registered office i just kept office location but not mention them as registered office with phone details

now two points that i mentioned in the letterhead that i have sent are not complete i want to know whether the company can take any legal action against me in case of conflict if so what is the consequence

I had got into kind of understand for development of software with a company in delhi i am in hyderabad since they were dealing this project on their client behalf that company had asked me to state that in the letter head saying that i would not contact their client and the points that i would implement in the software.now i am unable to do two points out of the points that i listed in the letter head

The letterhead on which i gave them i mean the name of the company on which i gave them letterhead is not registered i did not mention cin or firm identification code or registered office except numbers to contact and some address which is not registered address as the contact address

now the point is whether they can use the letterhead i gave them as legal proof in case of conflict

If i did not comply those points then what options they have to do legally against me they had paid the amount to my individual account and only half the amount is given till now

Whether you mentioned the terms and conditions with offer, which were accepted by them ? Whether any agreement reached and executed ? If you do not want to continue with the terms, send registered letter to withdraw the conditions if no formal agreement executed.

What I understand is -
You have initiated correspondence to get some work in the name of fake company in your side. You underwent certain understanding with the company at Delhi. If there is any conflict, whether the Delhi company take any action on you as there is no such company in existence and you only created a letterhead in the name of it.
Right?
It will be a cheating and that company can take action not only for breach of contract but also on the grounds of cheating.

i have not signed contract on formal papers and i have not mentioned the company registration etc only name of the company was there

It is binding on you and you will be liable for any legal action that may be initiated against you. Do not ever think that you are the only fellow who is intelligent, the other side will be more intelligent than you, better do not indulge in such activities in future.

I did several points that were not present in document which they asked on phone and these two points two I did it in different way but they wanted it differently for which I denied on phone after that I got the second installment now in the completion stage this point is raised total worth of project is 90000 they paid till now 56900 now I want to know in case of conflict what is the solution I am not cheating anyone I did not even know proper letterhead format and it was sent via email and they paid to my individual account now since they paid to personal account not company account will the letter head on the name of company that I gave be valid as there were lot of changes during the course of project on telephonic discussion

It would have been better to frame a new agreement after inserting all changes as there is no record of the changes hence the possibility of the conflict cannot be denied.

Mr.Kalyan, as you have a private message, I would like to give more claritifications.
1) Better to resolve the conflict by negotiations instead of thinking legal remedies for both sides.
2) The other party also may not be thinking to drag you to court on the grounds of cheating. What they want is their own benefit. If you will have reconcile to some extent better to reconcile, patchup and close the matter.
3) Registration of Company is not very big one. You are in Hyderabad, contact me, I will arrange a company secretary to register your company if required and if you wish to continue your business in the name of the company.
