Powers of office bearers whose tenure expired in housing society

Dear Experts,

We are a housing society registerd under CHS Act  and completed 1year and 7 months. Our management committee tenure has expired 7 months back and previous office beares are still continuing and not putting efforts to conduct fresh election of new management committee. They are dominating the entire society rules and not following proper by laws. To be specific,

1. Can Chairman or Secretary whose tenure is over, hire new estate manager, without aproval of management committee. The old manager resigned long back but this information was kept secret from MC members, and suddenly a new person recruited who happens to be the close relative of Societies Accountant, who is very close with office bearers.

So such important decision, does it needs MC mebers aproval of office bearers can appoint them as per thier requirements?
