NON EXECUTIVE DIRECTOR

Ours is PVT. LTD. company...with family members- MOTHER & DAUGHTER as directors - daughter is also employed in a company .....can she continue as Executive Director while being employed elsewhere or she has to be as non executive director....if she can continue as Executive Director, is it allowed for her to draw salary from this company...

An executive director is a whole time director vested with admistrative powers in a company whereas a non executive director, works part-time, compared with the whole-time director or WTD. While the WTD is wedded to the company, devoting all of his time and attention to the company's affairs, NED is not so shackled.

There is specific provision in respect of MD to be appointed as such in more than one company. However a WTD by virtue of his whole time employment cannot act as such in more than one company.
