in a company, the MD cannot look after each and every minute task. at times he is not present at the site of action. in order fix responsibility on the employee for employee's action and indeminify the owners of the company, how is it done?

is a service level agreement signed with the emplyee? if so, what is the stamp duty for such an agreement?
