Gift between directors of a company

Respected Experts,

I am my friends are director in a property company. out of friendship and mutual help i did for my friend he wants to give away a percentage of his shares to me as gift. pls adv can i accept them and if yes how will be the tax implications . i am sorry if this is not the right forum to ask this question.
