dissolution of cooperative society

Can a cooperative housing society, registered under Gujarat cooperative (societies act )can dissolve cooperative soc. & sell a flat of share holder member without his consent to a builder, who is developing & reconstructing the society? TIA.

1. That would be Criminal Cheating and Extortion.

2. BUT then anything can happen IF it is NERD-type Society.
