I have an export company of which I've struck a deal between a manufacturer in India and a client in Africa for a particular product. Now, the manufacturer wants to send the items directly to the client of which he would pay my company a commission which we've agreed to. I need to draft a MOU between my company and the client to protect myself from the manufacturer supplying to my client in the future. Also, I would like to protect my clients interest and therefore, there would be a clause where the manufacturer would not export to that particular city. Can you please help me with a sample MOU where I can edit for myself. Any suggestions would be highly appreciated. Thank you.
