issue of debentures under company law

Can anybody clarify with reference to and quoting relevant provisions:

FOR ISSUE OF DEBENTURES ONPRIVATE PLACEMENT BY AN UNLISTED PUBLIC COMPANY

1.Is there any document /return to be filed with ROC or any other authority before issue of debentures , as in the case of Share issue wehere prospectus or statement in lieu of prospectus is due?

2.Can it issue unsecured debentures or only secured?

3. Is. debenture trust deed mandatorysince SEBIguidelines do not apply to unlisted companies?

In case of closely held public company, No roc filing for issue of debentrues. Debentures could be secured or unsecured. In case of secured, form 8 needs to be filed with RoC. In cae of unsecured debenture, deposit related provision should be checked. Unless lender insist or for other purpose, trustee is not mandatory for closely hold company.

In which time the whole procedure will be completed.
