Is Board Resolution Mandatory to open a Branch office ?

Is Board Resolution mandatory to open a Branch office in another state for a Pvt Ltd company, what happens if It doesnt pass a board Resolution and still opens it, and which Form to fill on ROC for opening of Branch office.

The company shall file the resolution to open a branch at any place in India and to file before the ROC.

Obviously expansion of business has to be approved by the Board and filing resolution to the effect in ROC. Prima facie the query is a question paper, is it so ?

Sir, It is regarding my previous company office, I have filled a case against them in Delhi ( Reg office), company wants to shift office to Faridabad as it was working office, and since the office is not legally valid, I believe the case will be filled in Delhi only.
