What to do after getting a legal notice

Dear Sir,

Recently we sold our land and made an agreement with a person for 5 lacs on dec 2014 agreement was valid upto feb 14, the same person brought one of his friend and registered the land on his friend's name on jan 20. now he has sent a legal notice stating we have not returned his 5lacs and deprived him from getting the property and have sold to someone else before the agreement clouser period, agreement originals are with him.

What are procedure for replying legal notice ? What reply need to be given?

What if we dont reply within stipulated date what would be his further action?

Give a reply through a lawyer stating the above facts.what about the witness who were there at the time of executing sale agreement and thereafter sale deed.

Why did you sell the property to a third person if you have entered into an agreement with a different buyer?, whether the buyer was present during execution of sale subsequently, did he witness the transaction?  Have your not returned the advance amount received from him, if not why, if yes, how?

You have give a reply containing facts and denial of the allegations, if they are false.
