I have been studying the company incorporation process under the Companies Act, 2013 and would appreciate clarification on a few practical aspects.

My understanding is that the incorporation process generally includes:

  • Choosing an appropriate business structure.

  • Reserving a company name.

  • Obtaining DSCs for proposed directors.

  • Filing the incorporation application with the required constitutional documents, including the MOA and AOA.

  • Receiving the Certificate of Incorporation from the Registrar of Companies after successful verification.

I would like to know:

  1. What are the most common legal mistakes that lead to resubmission or rejection of incorporation applications by the ROC?

  2. What precautions should promoters take while drafting the MOA and AOA?

  3. Are there any compliance requirements immediately after incorporation that first-time entrepreneurs often overlook?
