            the subject matter---does it mean question of general importance or only question arising between the parties only?

 The term subject matter means


   Matter under consideration in a written work or speech; a theme.


The thing in dispute; the nature of the cause of action; "the real issue of fact or law presented for trial as between those parties" ; the object of a contract.
