REPORT OF THE CII TASK FORCE ON CORPORATE GOVERNANCE

I recently attended a CII conference on Corporate Governance wherein the captioned report was tabled for discussion. While making certain pragmatic suggestions, the report seems to steer the focus of corporate governance towards regulation of company watchdogs like the auditors, independent directors and the whistleblowers rather than concentrating on the fiduciary duties and wrongful conduct of the directors.
