query regarding branch office in properiter firm

happy new year  to all.

i m new member

my question is -one of my client is operating a properitership firm.& he wants to open a new firm &properiter will be different indiviual but he wants to show new firm as a branch & with out any laibilty to head office is it possible then tell me d procedure

No, the new branch is not at all a branch of the so called head office and it assumes a separate entity under a different proprietor.

if is any other procedure then tell me because in this way he wants that new firm will get d benefit of experience of head office with no laibility

The other firm can act as an agent and can be a franchise/distributor/ C&F agent of the head office

Mr. A.V.Vishal's answer is correct.  And also the 1st owner can claim royality from the 2nd proprietor for using the 1st owner's trade name and goodwill.
