You can do bussiness and enter agreements through your Firm (Partnership Concern)  if you want to do the bussiness as joint partners, however the act of firm shall be deemed the act of all of the partners. If you want to do some bussiness individually so do that ...what is the issue

I have to draft a shareholder agreement in which the company is converting the outstandings trade paybles of firm into shares on its partners name, I just want to know whether the firm as contractual capacity to enter into agreement

The Firm is an entity , you can enter in any agreement or deals on its behalf  however the partners should agree mutually. If all the partners agree to the agreement proceed./
