Actually company not mentioned about this case in annual report, so I want to know whether it is essential to disclose in annual report even small civil suit

To complain against a company for not disclosing a pending case in its annual report, a shareholder can file a complaint with the Securities and Exchange Board of India (SEBI) through their SCORES platform or by sending a physical complaint to their nearest Investor Service CentreAdditionally, the Ministry of Corporate Affairs (MCA) is another avenue for complaints related to corporate governance issues.

Listed co. Filed reply at Sebi scores portal as below -

According to Rule 8 of The Companies (Accounts) Rules, 2014, only significant and material orders from regulators, courts, or tribunals that could impact the company’s going concern status are required to be disclosed in the Board’s Report. Additionally, as per SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, disclosure is mandated only for material litigations affecting financial performance. The litigation referenced does not meet the material criteria for inclusion, which is why it was not disclosed in the report.

While this case already dismissed by arbitrator at sebi/nse by regd High court judge by giving reason of refer to court for recording of evidence means having material facts but not shown in annual report.

Pls guide
