Urgent requirement for legal advice and new Franchise Agreement Draft required for a reputed preschool. Need Franchise Partner to enter into a JV Partnership agreement to circumvent paying the GST applicable on Royalty Fee.

We have existing Franchise Partners with agreements wherein GST on Royalty Fee was not charged. GST on Royalty Fee was only rolled out in November but this caused an unrest amongst the Franchise Partners since they had predefined fee structure and there was no scope of incurring additional cost due to GST. Need a lawyer to suggest appropriate model.
