PROCEDURE FOR CERTIFICATION OF TRANSFER (SECTION 112)

   

1. The transferor executes the instrument of transfer (after endorsement by the prescribed authority) and it is sent to the company along with the share certificate. The instrument need not then be dated and stamped.
   
2. The company will then keep the certificate and endorse the instrument as follows: "Certificate No. ..... lodged"; OR "Certificate for ..... shares lodged with the company".
   
3. The endorsement will be authenticated by any officer or employee of the company or any other person, authorised to certify transfers on the company's behalf.
   
4. The instrument of transfer is then returned to the depositors along with balance receipt representing the shares not being transferred. No charge is made for issue of such receipts.
   
5. It should be noted that certification does not give any warranty of the transferor's title.
   
6. The company is however responsible for negligent certification.

  
7. The particulars of registration may be entered in a certification register for the purpose of record with the following particulars:
(i) Date
(ii) Name of the transferor
(iii) Certificate
(a) No.
(b) Shares
(iv) Particulars of certification
(a) Shares
(b) Distinctive numbers
(v) Balance certificate No. and date; New share certificate No.
(vi) Name and address of the depositor
(vii) Date of delivery of the new share certificate.
 
8. A new certificate is then prepared for the balance shares and will be delivered against the balance receipt.
 
9. Where the shares are listed, the balance shares certificate should be issued without charge within one month.
 
10. When the certificated instrument is duly stamped, executed and delivered to the company, the transfer will be processed.
  
11. After the transfer is approved a new certificate will be prepared in the name of the transferee and delivered to him. Where it is sent by post, it is usual and desirable to send by registered post.
