What is the date of Registration of a Company for entering into a contract with other Company ?
In an Arbitration proceedings the Principle Co has taken objection of jurisdiction of Arbitrator on the ground that there is no privity of Contract with a Partnership which is not yet registered as a Company, although the Application for Registration of the Company by the Partnership Firm is made long before the actual Registration . Will not the Registration relate back to the date of Application for Registration ?

If any agreement entered prior to incorporation of the company, it will not bind the company.

The company after the incorporation, should enter the agreement afresh.

Date of registration mentioned on the certificate of incorporation is the effective date of brth of a company. Prior to that date there would not be the existence of any such company on record of the registrar of Companies.
