Can authroized person -authroize a person to represent?

Dear Learned Members.

I have seen that a board of directors can authorize the person to act on the work and he can also authorize another person to act on behalf of him.

But in one case at Bangalore one Company Secretary (without Board Directors approval or resolution)authorized an employee to give evidence on behalf of the Company in Criminal case, which an employee was not knew the facts.

Is it suffice to dismiss the case or Court shall have the right to direct the Complaint (Company) to bring proper authorization. Already it has been produced the Complaint to the Court.

Could some one suggest me that how to gohead.

Authorisation is needed for filing the complaint for unnatural person but any body can give evidence but you have to follow section 60 of evidence act. That is the person can give evidence about the facts which he knows personally .

No body can enter in the shoes of another person in criminal complaints.
