Rbi annual return

Dear Experts,

I have a query with regard to RBI Annual Return as to when to stop filing the return. ABC Pvt Company had one foreign shareholder who after period of 2 years sold all his shares held in ABC Pvt to a Indian individual on 01/04/2012. Should ABC Private Limited file RBI annual Return for FY 2012-13. ABC Pvt does not have any investment outside India.

Dear Experts,

I am planning to open up a new shop really soon in a new developing location. I am thinking up of running a promotional campaign through local newspapers, online etc.,. so my shop will have buyers from day 1.
I am thinking of running up a contest where every interested customer will have to pay a Rs. 50/- to enter the contest and after one month 3 of the lucky winners will get the prized items and rest of the customers will get their 100% money back in the form of coupons, which they can redeem at my shop for their future purchases.
Someone has told me about "The Prize, Chits & Money Circulation Scheme (Banning) Act, 1978", so I would just like to know that whether I can do this or not? I mean I don't find anything illegal in this as I am just searching buyers and so returning their 100% money back to them..Please help!

Memo. of information

Is it obligatory that whenever a Company issues Information Memorandum,it must be subsequently followed by a Prospectus /SLP? If an Unlisted Public Company desires to make private placement of shares to non-promoters,will it be necessary for it to issue such Information Memo? Will in such case be necessary to issue and file a SLP?

Membership in multi state co-operative society

Kindly guide in the following matter:

1. A Multi State Co-operative Society generally has a provision in its Bye-laws that a person can be a member of the Society if it resides or operates within its areas of operation.

2. Now my Question is that whether it is possible for it to have a provision in its Bye laws that any Person can become member including Non-Resident Indians (NRIs)? That is can it have open membership provision in its Bye Laws?
