Question 1: How will the AGM take place without requiring the physical presence of foreign shareholders (representatives of shareholder) and foreign director. Please give the legal background and your solution.
 
Question 2: How will the Board meeting take place without requiring one of the directors to travel to the destination of the other director?

If due notice has been sent and even then either of the shareholders and directors is not present in the AGM then such meeting is legal, if quorum is otherwise proper. Such type of meeting cannot be called illegal if one of the directors is not present at the destination of the meeting.
