Kindly advise, my client company doesnt fall under Section 203. Compulsory appointment of KMP is not applicable to that company, however company is appointing MD, WTD & CS w.e.f 1/4/2017. In this case also do we need to file DIR 12 along with MR-1? Thank you in advance.

As per the provisions of Companies Act, a company can appoint WTD,MD and KMP's even if those provisions is not applicable on the Company. in case of WTS and MD u need to file DIR-12, MR-1 and MGT-14, whereas in case of CS only DIR-12 and MGT-14 are required to be filed
