In house corporate counsel & professional ethics

What are the functions of an in house counsel in a company ?

is he eligible to practice law or appear before a court on behalf of his company ?

if yes, since they are on the payroll of the compnay, isn't it a violation of bar council regulations ?

in house counsels if they are on payrolls i.e. on salary basis of the company or other sister concern then they can not appear in courts as an advocate. however, they can appear as the authorised representative/officer of the company. these days the companies are following the practice of retainership counsel. they deal with only that corporate house cases and are payed a filxed monthly retainership fee.
