Oppression pursuant to sec 293(1)(a) of the co. act, 1956

Could anybody refer any case law on oppression mismanagement particularly under the section 293(1)(a) of the Companies Act, 1956?

Oppression and mismanagment are dealt under Sec 397( conditions for claiming oppression )to 409(power of CLB to prevent change in the Board) of the Companies Act, 1956, where as 

Sec 293(1)(a) deals with restrictions on powers of Board. 

So could you please clarify your question a lil' more?
