company matter-resolution

Can board of directors of a private limited company authorize a person who is not in the board of Directors of the company and who is also non-office bearer of the company to mortgage the company property by empowering him in a board resolution ?

Will it be illegal to authorize such non-office bearer person to empower by a board resolution to mortgage (sign , execute mortgage deed) for the company?
