Conversion of tenancy to ownership?

Dear Experts,

Suppose one has 3 tenancy properties in one industrial building in Mumbai. He surrenders tenancy rights in one property to the landlord and the landlord in return converts the other two properties to ownership from tenancy.

1. What is the legal procedure for such transaction?

2. What tax liablities arise for both parties?
