Cheque bounce u/s 138 ni act

Dear sir,

X company filed Case u/s 138 NI Act against the Y Company situated in one place and Director who resides in another place. In the complaint X company made Y company as first accused and without mentioning the name of the Director made as second Accused. The Hon'ble court issued summons to both Y and Director(without mentioning the specific name of the Director). Since the name of the Director is not mentioned and In this situation can Board of Directors appoint / authorise his employee / manager through board resolution to appear in the above matter on behalf of both Y and Director.

Pl guide in this matter.

The director who is in charge of day to day operations of the company and who has got authority to sign cheque should  appear before the court.

This is quite irregular, company is the first accused, and all other directors, managers and secretaries, follow the company, as per principle of Vicarious Liability, all these guys can be held responsible if any specific allegation is made against them regarding their involvement in the offense, which of course is missing in this case.

 

I cannot say for sure the outcome of this case (on this point), but the fact is a natural person cannot be convicted without his name being there as accused, so consult your counsel on this issue and bring the names of at least the signatory directors as accused.

What is the nature of the Act, is it substantive, procedural or a mixture of both. More so, is it civil substantive, civil procedural, criminal substantive or criminal procedural, also if the provisions of the act can be categorised thereof. 2. What was the purpose of the statute? 3. What are the provisions in the Act that relates to the compliance of the decision (order, judgment, decree)? 4. In case of non- compliance what are the remedies available under the Act? (Relevant provisions) 5. Which are the courts that have jurisdiction under the Act? What is the territorial and pecuinary jurisdiction of such courts? Which is the Original, Appellate and Revisional forrum under the Act? 6. Who has a locus standi under the Act? Who can initiate an action and against whom can an action be taken (Relevant provisions)? Thanks and Regards
