Amendment of bye laws

Dear CA Club Members

Could anyone please tell me how to amend the BYE-LAWS of Thrift Society registered under Multi-State Co-operative Society Act 2002.The subject is that,  it is provided in the bye-law of this Thrift Society that only persons who have undergone co-operative training and below the age of 30years can be appointed as employee to the society and external persons, even professionals are not eligible for appointment.  However the directors of the managing committee of the society had arrived at a decision at board meeting to appoint one professional  personal aged more than 30 years, to take care of the  some financial planning aspects of society  for the betterment of the society and decided to issue offer letter to the concerned person.  In case, if Board appoint such professional by  without amending the bye-law of the society,is such appointment  illegal against co-operative principles. What is the exact procedure under the said Multi-state co-op society for the speedy amendment of the bye-law. Also can they appoint such professional on probation basis for a period of 6 months and later on amendment the bye-law of the society. Is such appointment valid.
