Change of Place of Regd. Office of Company

Dear All :

Recently we had changed the Address of Registered Office of our Private limited Company from State to UT ( Western Region ).  We have done the ammendment in ROC and have obtained Order from the concerned office for change of the Regd. Office.

Now my question is :

1) Is it necessary to forward the letter of order to the new Regd. Office (Western Region) with all the required support.

2) Have we to inform regarding the same to our new Regd. Office [ Range ROC - Mumbai - Western Region].

3) Do we have to make the necessary changes in all the Statutory Records(local) for the same.

4) Is ther any other Rule for the change to be made.

Kindly expedite with a fruitful answers.

After receiving the CLB order for shifting the registered office, the company is required to file certified copy of the order with the ROC alongwith Form No. 21 within 3 months of receipt of certified copy along with the printed copy of the memorandum of association .

 

A certified copy of the order from the ROC within one month of the date of filing must be obtained.

 

The certified copy of the order should be filed with the ROC of the new state within one month of the date of the filing along with the certified copy of the memorandum of association.

 

The ROC of the new state i.e. at which registered office will be shifted will issue a fresh certificate of incorporation which will be conclusive evidence of the shift of registered office.

 

File Form No. 18 with the new ROC for the situation of the registered office

 

Necessary changes are required to be made in the letter heads ,books, records etc. of the company.

 

Arrange to adopt new common seal of the company.

e-Form 21 needs to be filed only once with the old CIN, once the form is approved new CIN shall be alloted to the company which shall be under the new ROC. Form 18 automatically gets splitted into 2 and shall be processed at the back office of both the ROCs
