Stamp duty and registration in case of transfer to son

We purchased a flat from Mr.X. The said flat was given as a gift to his son. They entered into agreement to transfer on 10th Nov 1995. But the said agreement was not registered. Now we are planning to sell the property. The prospective buyer has approached a Financial Institution, now they are insisting to get that document registered. What we should do now? Pls guide us

your query is not clear.  flat was given as a gift to his son then who is the father? either X or ?  they entered into agreement in 1995.who are they? son and father or both of them with another one?

Son is Mr.X.Father entered into agreement to transfer the said property to his son in 1995 without paying stampduty and registration.
