Regarding franchise agreeement

I am one of the directors in a company which owns a brand. Two years back a person acquired a franchise and paid the token money for the same. We sent him the agreement and he was ready with minor changes which he sent back by mail. After sometime he stopped communicating and now he wants back the money paid by him. He backed out without any intimation. What is your opinion in this?
