Queries on sale of commercial property

Dear all,

i have a shop in Mumbai which I am in the process of selling.The party who intends to purchase my shop is going for a bank loan,so he says that for loan we must first register our agreement,where he wil pay a deposit amount and the balance will be cleared by bank.possesion would be given to him after bank sends me payment.all this will be mentioned in the agreement.

here are my questions

what if his loan gets rejected?,he would have already paid stamp duty and registration?

what kind of noc do I need from the society?

Our society has some internal issues due to which the secretary as well as new chairman are saying that they cannot sign any documents as the old chairman who was removed has filed a case trough the registrar,so who can sign noc for me,all my dues have been paid up to date,can I have the committee members sign for me? And would the bank require noc?
