Paghdi tenant entering partnership

I am the owner of a property in which there one tenant who has been there since a very long time.The tenancy is on paghdi basis. The tenant wanted to leave the property and go, hence we asked 33 percent of whatever the deal value would be and further headed for tri partied agreement, but all of sudden the tenant changed his mind and told us that he is entering in a new partnership with the person he was suppose to sell.He says that the partnership will be in the existing name itself. Hence I wish to know whether is it possible for the new partner to take over the property without paying transfer charges incase the old tenant retires from partnership after a year or so? Is it possible that my tenant and the buyer are trying to evade me from transfer charges and if yes what steps should i take? does the old tenant require landlord NOC to start new business in partnership with thirs party in the same old company name.
