Mou for franchise

I want to become franchise of branded laundry, FOCO type model (Franchise owned Company operated),They are asking 20lkhs as refundable deposit, all should take care by company shop running identifying everything only we have to invest the amount like fixed deposit what are the points should take care ? can we able to register the agreement?
